TEHACHAPI WESTERN EVENTS ASSOCIATION
2005 BY-LAWS

I. NAME
The name of this association is the Tehachapi Western Events Association, hereinafter
referred to as TWEA.

II. PURPOSE
A non-profit public benefit corporation for the exclusive charitable advancement of
education and scholastic opportunities for students in Tehachapi, California. In order to
provide charitable funds and property for this purpose, the TWEA shall conduct rodeo
events, membership drives, and sponsorship drives. Net annual proceeds from these
events are disbursed to the greater Tehachapi area.

III. MEMBERSHIP
1.   General membership will be on a volunteer basis. Members of this club must be 18
years of age or older unless approved by TWEA.
2.   TWEA's fiscal year begins March 1 and ends February 28.
3.   Meetings will be held the first Monday of the month. Additional meetings will be at the
discretion of TWEA.
4.   Dues, to be paid by the first meeting in March, are as follows:
Single Membership               $30
Couple Membership              $50
Family of three                        $65
Family of four or more           $75
5.   New members that want to join six months after March will pay half dues.
6.   General members in good standing who have attended two-thirds of the meetings and
activities may vote at annual and general membership meetings.
7.        Affiliate membership will be given at the discretion of TWEA.
8.        Honorary membership will be given at the discretion of TWEA.
9.  A sign-up sheet for roll call shall be taken at each meeting.


IV. ELECTIONS
1.   Election of officers will be held at the February meeting. Terms of officers will be two
years (limited to no more than two consecutive terms). Elections will be held for President,
Vice President, Secretary, Treasurer, and Arena Director. (Term of office shall begin in
alternating years as specified in Addendum B.)
2.   New officers will take office at the March meeting.
3.   No office shall be held by a member before one full year of active membership has
passed. A full year begins from the date of application and approval of membership. Active
is defined as a member who participates in two-thirds of the meetings and activities.

V. OFFICERS
1.   This club shall have a President, Vice President, Secretary, Treasurer and Arena
Director.
2.   Should a member holding an office decide to withdraw or resign from the club during
the term of his/her office, TWEA shall appoint a member to fill the vacancy.

VI. DUTIES OF OFFICERS
1.   President shall preside at all regular meetings and shall call meetings of officers
whenever necessary. President shall have and present a written agenda to each member
attending a business meeting. In elections, the President casts the deciding vote in case
of a tie. The President also is entitled to write checks along with the Treasurer and one
other appointed member.
2.   Vice-President, in the absence or the inability of the President to preside over
meetings, shall perform the duties of the President.
3.    Secretary shall keep minutes of all meetings and shall keep the membership
records. The Secretary shall have custody of all correspondence and other papers of note.
The Secretary shall turn over such papers and records to the successor.
4.     Treasurer shall keep safely in the bank all monies belonging to TWEA and shall write
checks. The Treasurer shall submit in print a complete statement of the TWEA account at
each monthly business meeting. The Treasurer shall collect all dues and other monies
due the TWEA. Checks shall require two signatures. All members must vote on, and
approve by majority, expenditures exceeding $200. The books will need to be audited by a
CPA or outside bookkeeper in February of each year.
5.      Arena Director shall organize and coordinate arena preparations. Also, the Arena
Director shall control the arena calendar to keep all events scheduled properly.

VII. RULES AND REGULATIONS
1.   All members must look and act professionally at all times while representing the
TWEA. No public intoxication is permitted.
2.   The President or Vice-President will speak for TWEA when the need should arise.
3.   Proper attire to all TWEA events will be western hats and long-sleeved shirts
(preferably Wrangler painted desert shirts).

ADDENDA
A. Addenda may be modified by simple majority of active TWEA membership at any time.
B. Elections for the offices of President, Secretary and Arena Director shall be held in
odd-numbered years, with elections for the offices of Vice President and Treasurer to be
held in even-numbered years.
